Item 8.01.    Other Events
 
On July 12, 2011, KLA-Tencor Corporation (the "Company") issued a press release announcing that the Company's Board of Directors had authorized an increase in the level of the Company's quarterly dividend from $0.25 to $0.35 per share. This increase is expected to take effect beginning with the Company's quarterly dividend to be declared in August 2011. A copy of the press release is attached hereto as Exhibit 99.1.
