Item 1.01 Entry into a Material Definitive Agreement.
On July 8, 2011, Measurement Specialties, Inc. (the “Company”), pursuant to an asset purchase agreement, completed the acquisition of Eureka Environmental, a manufacturer of multi-parameter water monitoring probes, for $2,250,000. The selling shareholders have the opportunity to earn an additional $2 million if certain earnings thresholds are achieved. The asset purchase agreement contains customary representations, warranties and indemnification rights and obligations of the parties.
