Other Events.
|
At a meeting of the Board of Directors of Temple-Inland Inc. (the “Corporation”) held on July 7, 2011, the Board of Directors determined to amend the Corporation’s Corporate Governance Guidelines to provide that each Non-Employee Director must resign at the annual meeting of shareholders following the expiration of the term during which such Director reached the age of 72. As a result of the amendment, Mr. Jeffrey M. Heller, who will reach the age of 72 prior to the 2012 Annual Meeting, will now be eligible to serve the remainder of his full term through the 2014 Annual Meeting.
