Item 1.01 Entry into a Material Definitive Agreement.

On June 30, 2011 Local.com Corporation (the “Registrant”) entered into a Google Services Agreement with Google Inc. (the “Agreement”). The Agreement provides for the implementation by Local.com of certain advertising and search services on certain websites, subject to the Registrant’s compliance with certain policy and compliance obligations as more fully described in the Agreement. The effective date of the Agreement is August 1, 2011 and it ends on July 31, 2013.

The foregoing description of the Agreement is qualified in its entirety by reference to the full text of the Agreement which is filed as Exhibit 10.1 with portions omitted and filed separately with the Securities and Exchange Commission pursuant to a request for confidential treatment. Exhibit 10.1 is a redacted copy of the Agreement and is incorporated herein by reference.
