Item 7.01 Regulation FD Disclosure.

On June 16, 2011, Ampio Pharmaceuticals, Inc. (“Ampio” or the “Company”) announced treatment of the first patient in the three-arm, placebo controlled, 60 patient Phase 1b Ampion-In-Knee (AIK) trial in Australia. A copy of the news release is furnished as Exhibit 99.1 to this report and is incorporated herein by reference.

Item 8.01 Other Events.

On July 6, 2011, Ampio relocated its offices to Suite 925 in the same building in which its offices were formerly located. On May 23, 2011, Ampio filed a copy of the lease agreement for Suite 925 as Exhibit 10.15 to amendment no. 1 to the Company’s registration statement on Form S-1, which may be found on the SEC’s website at Effective July 7, 2011, the Company’s phone number also will change to (720) 437-6500.
