Item 8.01. Other Events.
On July 6, 2011, TrustCo Bank Corp NY completed its previously announced public offering of 15,640,000 shares of its common stock at a price to the public of $4.60 per share. The net proceeds to the company, after deducting underwriting discounts and commissions and estimated offering expenses, are expected to be approximately $68.1 million. The shares sold included 2,040,000 shares issued pursuant to the exercise of the underwriters’ over-allotment option.
