Item 5.07		Submission of Matters to a Vote of Security Holders.

(a) On June 28, 2011, Enstar Group Limited (the “Company”) held its Annual General Meeting of Shareholders (the “Annual Meeting”).

(b) At the Annual Meeting, the shareholders voted on the following 13 proposals and cast their votes as described below.

1. Proposal No. 1A: Approval of the issuance of additional securities in the Third Closing of the private placement of securities to affiliates of Goldman, Sachs & Co. (the “Private Placement”) described in the Company’s Definitive Proxy Statement, filed with the Securities and Exchange Commission on May 24, 2011 (the “Proxy Statement”).
