Item 1.01. Entry into a Material Definitive Agreement.

 

Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.

On June 30, 2011, an indirect, wholly owned subsidiary of Chesapeake Lodging Trust (the “Company”) entered into a loan agreement with Goldman Sachs Commercial Mortgage Capital, L.P. to obtain a $95.0 million loan maturing in June 2016. All borrowings under the loan are secured by a first mortgage lien on the Hyatt Regency Boston, and related equipment, fixtures, personal property and other assets. In addition, the Company’s operating partnership, Chesapeake Lodging, L.P., has guaranteed the timely completion and cost of completion of certain capital plan and property improvement work for the hotel and certain other matters under the loan agreement and related documentation. The loan agreement and related documents contain representations, warranties, covenants, conditions and events of default customary for single-property mortgage financings of this type.

The loan carries a fixed interest rate of 5.0085% per annum, with principal and interest payments calculated based on a 30-year amortization. Proceeds from the loan will be used to repay outstanding borrowings under the Company’s revolving credit facility and for general business purposes, including funding future acquisitions.
