Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 27, 2011, Thomas McCann, the Chief Financial Officer of Ezenia! Inc. (the “Company”), departed the Company.  Until a new Chief Financial Officer is appointed, Larry Snyder will serve as principal financial and accounting officer of the Company.  Information regarding Mr. Snyder can be found in the Company’s definitive proxy statement filed with the SEC on June 24, 2011.  The Company has engaged Brighton Company LLC, Burlington, Massachusetts, a licensed certified public accounting firm, to provide the Company with accounting and financial services on an interim basis.  Mr. McCann will be available to assist in the transition.
