Item 8.01.  Other Events.

On June 24, 2011, Conmed Healthcare Management, Inc. (the “Company”) issued a press release announcing that it has extended its previously announced exclusivity agreement with James H. Desnick, M.D. in connection with his evaluation of a possible acquisition of the Company. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
