Item 1.01. Entry into a Material Definitive Agreement.

On June 15, 2011, Chesapeake Lodging Trust (the “Company”) entered into an agreement to acquire an upper-upscale, full-service hotel located in the Union Square area in downtown San Francisco, California for $42.25 million from an unaffiliated third party. The Company intends to fund the acquisition with borrowings under the Company’s revolving credit facility. The Company expects the acquisition to close in the next 30 days; however, because the acquisition is subject to customary closing conditions, the Company can give no assurance that the transaction will be consummated during that time period, or at all.
