Item 8.01.  Other Events.
 
On June 13, 2011, Silgan Holdings Inc. (“Silgan”) announced that Graham Packaging Company Inc. (“Graham Packaging”) informed Silgan that it received an unsolicited proposal from a private non-investment grade company to acquire all of the shares of Graham Packaging for $25 per share in cash. A copy of the press release is attached hereto as Exhibit 99.1.
