Item 8.01   Other Events.
On June 13, 2011, BroadSoft, Inc. (the “Company”) issued a press release announcing its proposed plans to offer, subject to market and other conditions, up to approximately $120 million in aggregate principal amount of convertible senior notes. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
