Item 7.01. Regulation FD Disclosure.
On June 2, 2011, Omega Healthcare Investors, Inc. issued a press release announcing the commencement of an exchange offer for $575 million of its 6¾% senior notes due 2022 issued on October 4, 2010 and November 23, 2010 in two separate private placements. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
