EXPLANATORY NOTE

Brocade Communications Systems, Inc. (the “Company”) is filing this Amendment No. 1 on Form 8-K/A to the Company’s Current Report on Form 8-K, which was originally filed on April 13, 2011 (the “Original 8-K”), to update disclosures made under Item 5.07 regarding the frequency of the non-binding advisory vote on executive compensation.

Except for the foregoing, this Amendment No. 1 does not amend the Original 8-K in any way and does not modify or update any other disclosures contained in the Original 8-K. Accordingly, this Amendment No. 1 should be read in conjunction with the Original 8-K.

 

Item 5.07. Submission of Matters to a Vote of Security Holders.

At the Annual Meeting of Stockholders held on April 12, 2011, the Company’s stockholders cast the highest number of votes for voting on an annual basis, compared to every two or three years, with regard to the non-binding advisory resolution regarding the frequency of the non-binding vote on executive compensation. In light of this result and other factors considered by the Board of Directors of the Company, the Board of Directors determined that the Company will hold annual non-binding advisory votes on executive compensation until the next required vote on the frequency of the non-binding advisory vote on executive compensation occurs. The next non-binding advisory vote regarding such frequency will be held no later than the Company’s 2017 Annual Meeting of Stockholders.
