Item 8.01.              Other Events.

On May 27, 2011, Iron Mountain Incorporated (the “Company”), Autonomy Corporation PLC, a corporation formed under the laws of England and Wales (“Autonomy”), and certain subsidiaries of the Company were granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the transaction contemplated by the Purchase and Sale Agreement dated as of May 15, 2011 (the “Agreement”) pursuant to which Autonomy has agreed to acquire the Company’s online backup and recovery, digital archiving and eDiscovery solutions.
