Item 8.01 Other Events.
MGM Resorts International (the “Company”) expects that it will make available on its corporate website (www.mgmresorts.com) the determined offer price for the proposed offering of 760,000,000 ordinary shares of MGM China Holdings Limited (“MGM China”). It is expected that the pricing information will be available for viewing on The Stock Exchange of Hong Kong Limited’s website on or about the morning of May 27, 2011 Hong Kong time (evening of May 26, 2011 U.S. time), after which time the offer price will be posted to, and available on, the Company’s website. No website or website contents mentioned herein form part of this Current Report on Form 8-K.
Due to the time differences between Hong Kong and the United States, the Company plans to continue to use its corporate website as a means of posting important information about MGM China in the future.
The shares of MGM China have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws and may not be offered or sold in the United States absent registration under the Securities Act, or pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
