Item 8.01 Other Events.
On May 23, 2011, the Company announced that its Board of Directors adopted resolutions authorizing its officers and directors to take such actions as are required to liquidate and dissolve the corporation, and to pay a special cash distribution to shareholders of record as of May 31, 2011, as described in the press release attached as Exhibit 99.1 hereto.
