Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On May 16, 2011, Steven D. Westphal, Executive Vice President of Operations and Systems of
Coca-Cola Bottling Co. Consolidated (the “Company”), provided notice of his decision to retire
effective December 31, 2011, after 24 years with the Company. Although his duties and
responsibilities as Executive Vice President of Operations and Systems have been reassigned to
other officers of the Company, Mr. Westphal will continue to serve as an executive officer of the
Company until his retirement with his primary responsibility being to serve as President of the
Company’s wholly-owned transportation business.
