The following information is provided pursuant to Item 2.05 of Form 8-K, “Costs Associated with Exit or Disposal Activities.”

Section 2 – Financial Information

Item 2.05 – Costs Associated with Exit or Disposal Activities.

On May 13, 2011, Affinia Group Intermediate Holdings Inc. (the “Company”) decided to close its manufacturing operations located in Guelph, Ontario, Canada. The operations are expected to close in the third quarter of 2011. The closure of this operation is part of the Company’s continuing effort to serve the replacement parts market effectively and efficiently. This action is expected to result in the Company incurring pre-tax charges of approximately $8 million. The charges are comprised of employee severance costs of $5 million, environmental costs of $1 million and other trailing liabilities of $2 million. The Company will recognize the severance costs in the second quarter of 2011 and expects to recognize $1 million of the remaining costs during 2011 and $2 million of the remaining costs during 2012.
