Item 1.01 Entry Into A Material Definitive Agreement.
On May 13, 2011, Nanosphere, Inc. (the “Company”) completed an underwritten public offering (the “Offering”) of 15,686,000 shares of its common stock, par value $0.01 per share (the “Shares”). Piper Jaffray & Co. acted as the sole book-running manager and Roth Capital Partners, LLC is acting as co-manager for the Offering. The Shares were issued and sold by the pursuant to a purchase agreement (the “Purchase Agreement”) by and between the Company and Piper Jaffray & Co., as representative of the several underwriters (the “Underwriters”), at a public offering price of $2.20 per share. The Shares include 2,046,000 shares issued and sold pursuant to the Underwriters’ exercise in full of its over-allotment option under the Purchase Agreement.
The Company estimates that it will receive net proceeds of approximately $32.1 million from the Offering after deducting underwriting discounts and commissions and offering expenses. The Company intends to use the net proceeds from the Offering for general corporate purposes and working capital.

The legal opinion, including the related consent, of Seyfarth Shaw LLP relating to the issuance of the Shares is filed as Exhibit 5.1 to this Current Report.
The Company issued a press release announcing the completion of the Offering on May 13, 2011. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
