Item 1.01 Entry into Material Definitive Agreement

Securities Purchase Agreements
 
On May 6, 2011 (the “Closing Date”), Voiceserve, Inc.  (the “Company”) completed a private offering of its common stock and warrants to purchase shares of its common stock (the “Offering”).  In connection with the Offering, the Company entered into a securities purchase agreement (collectively, the “Securities Purchase Agreements”) with certain investors (the “Investors”).  Pursuant to the Securities Purchase Agreement, an aggregate of 2,623,077 shares of the Company’s common stock (the “Shares”) and warrants to acquire an aggregate of 1,311,539 shares of the Company’s common stock (the “Warrants”) were sold in the Offering for gross proceeds to the Company of $341,000.
 
Warrant Agreements

In connection with the Offering and pursuant to the Securities Purchase Agreements, the Company entered into a warrant agreement with each of the Investors setting forth the terms and conditions of the Warrants (collectively, the “Warrant Agreements”).   The Warrants are exercisable for a period of three years from the Closing Date at a per share exercise price of $0.30.  Each Warrant Agreement provides that the exercise price of the Warrants is subject to adjustment upon certain events, such as stock splits, combinations, dividends, distributions, reclassifications, mergers or other corporate change and dilutive issuances.

Registration Rights Agreements

In connection with the Offering and pursuant to the Securities Purchase Agreements, the Company entered into a registration rights agreement with each of the Investors (collectively, the “Registration Rights Agreements”).  Pursuant to the Registration Rights Agreements, the Company agreed to file a registration statement (the “Registration Statement”) with the Securities and Exchange Commission (the “Commission”) to register the Shares and the shares of common stock underlying the Warrants.  The Registration Statement is required to be filed within thirty days of the Closing Date (the “Required Filing Date”) and declared effective by the Commission within 150 days of the Closing Date (“Required Effectiveness Date”). In the event of a full review of the Registration Statement by the Commission, the Required Effectiveness Date will be extended by 30 days.

If the Company fails to file the Registration Statement by the Required Filing Date, or if the Registration Statement is not declared effective by the Required Effectiveness Date, the Company is required to pay cash liquidated damages to each Investor in the amount equal to 1.0% of such Investor’s subscription amount subscribed for by such Investor for each 30-day period for which the Company is not compliance, subject to a cap of ten percent (10%) of such Investor’s subscription amount.

The sale of the Shares and Warrants were offered and sold in reliance upon exemptions from registration pursuant to Section 4(2) of the Securities Act, Rule 506 of Regulation D promulgated under the Securities Act (“Regulation D”) and/or Regulation S promulgated under the Securities Act (“Regulation S”).  We made this determination based on the representations of each Investor which included, in pertinent part, that each such Investor was (a) an “accredited investor” within the meaning of Rule 501 of Regulation D, (b) a “qualified institutional buyer” within the meaning of Rule 144A under the Securities Act or (c) not a “U.S. person” as that term is defined in Rule 902(k) of Regulation S and upon such further representations from each Investors that (i) such Investor is acquiring the securities for his, her or its own account for investment and not for the account of any other person and not with a view to or for distribution, assignment or resale in connection with any distribution within the meaning of the Securities Act, (ii) the Investor agrees not to sell or otherwise transfer the purchased shares unless they are registered under the Securities Act and any applicable state securities laws, or an exemption or exemptions from such registration are available, (iii) the Investor has knowledge and experience in financial and business matters such that he, she or it is capable of evaluating the merits and risks of an investment in us, (iv) the Investor had access to all of our documents, records, and books pertaining to the investment and was provided the opportunity to ask questions and receive answers regarding the terms and conditions of the offering and to obtain any additional information which we possessed or were able to acquire without unreasonable effort and expense, and (v) the Investor has no need for the liquidity in its investment in us and could afford the complete loss of such investment. In addition, there was no general solicitation or advertising for securities issued in reliance upon Regulation D.
