EXPLANATORY NOTE

The purpose of this amendment is to correct the information provided in the beneficial ownership table in Item 12, Part III of the Form 10-K filed by Alliqua, Inc. with the Securities and Exchange Commission on March 31, 2011. Except as otherwise expressly set forth in this amendment, no portion of the Form 10-K is being amended or updated by this amendment.

Security Ownership of Certain Beneficial Owners and Management

The following table sets forth, as of March 25, 2011, the beneficial ownership of our Common Stock by each director and executive officer of the Company, and each person known by the Company to beneficially own more than 5% of our Common Stock outstanding as of such date and the executive officers and directors of the Company as a group.

The percentages of our Common Stock beneficially owned are reported on the basis of regulations of the SEC governing the determination of beneficial ownership of securities. Under the rules of the SEC, a person is deemed to be a beneficial owner of a security if that person has or shares voting power, which includes the power to vote or to direct the voting of the security, or investment power, which includes the power to dispose of or to direct the disposition of the security. Except as indicated in the footnotes to this table, each beneficial owner named in the table below has sole voting and sole investment power with respect to all shares of our Common Stock beneficially owned.
