Colonial Properties Trust (the “Company”) is filing as Exhibit 99.1 (incorporated by reference herein) a description of certain material federal income tax consequences related to the taxation of the Company as a real estate investment trust, or REIT, and the ownership and disposition of common shares of beneficial interest, par value $0.01 per share, of the Company (the “common shares”), preferred shares of beneficial interest, par value $0.01 per share, of the Company (the "preferred shares" and, together with the common shares, the "shares") and debt securities of Colonial Realty Limited Partnership ("CRLP"). The description contained in Exhibit 99.1 to this Current Report on Form 8-K replaces and supersedes prior descriptions of the federal income tax treatment of the Company and its shareholders to the extent that they are inconsistent with the description contained in this Current Report on Form 8-K.
