ITEM 8.01 OTHER EVENTS.

On May 5, 2011, we issued a press release entitled “BRE Properties Announces Offering of Common Stock,” a copy of which is filed as Exhibit 99.1 to this Current Report and is incorporated by reference herein.

During the second quarter of 2011, we anticipate that we will close the acquisition of a 282-unit apartment community located in Oakland, California for approximately $65 million, subject to customary closing conditions. We cannot assure you that the acquisition will be completed on these terms, or at all.
