Item 8.01. Other Events
On May 2, 2011, SRA International, Inc. (“SRA”) issued a press release announcing the end of the “go-shop” period under the previously announced Agreement and Plan of Merger, dated March 31, 2011, by and among SRA, Sterling Parent Inc., a Delaware corporation (“Parent”) and Sterling Merger Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”). A copy of the press release is being furnished as Exhibit 99.1 and incorporated herein by reference.
