Item 1.01 Entry into a Material Definitive Agreement
On January 31, 2011 Cavitation Technologies, Inc. (CTi) entered into a long term Site User License Agreement with a major U.S. edible oil refinery. This agreement is associated with the installation of a CTi Nano Reactor™ System which is designed to process and refine vegetable oils. After a 45 day trial, the parties agreed that the system is a success, and on April 4, 2011 CTi received a license fee payment of $280,000.
