Effective May 3, 2011, Paul J. Finnegan, Co-Chief Executive Officer of Madison Dearborn Partners, LLC (“MDP”), will replace George A. Peinado, a Managing Director of MDP, as one of the directors of CDW designated by MDP. This change in directors will apply to CDW Holdings LLC, CDW Corporation, CDW LLC and CDW Finance Corporation. It has not yet been determined on which committees Mr. Finnegan will serve.
For a description of certain relationships between MDP and CDW Corporation, please see Item 13, “Certain Relationships and Related Transactions, and Director Independence,” of CDW Corporation’s Annual Report on Form 10-K for the fiscal year ended December 31, 2010.
