Item 7.01 Regulation FD Disclosure.
On April 19, 2011, Blackboard Inc. (the "Company") issued a press release announcing that it has retained a financial advisor in response to receiving unsolicited, non-binding indications of interest in acquiring the Company. The Company is evaluating the offers as well as strategic alternatives to enhance shareholder value. A copy of the press release is furnished hereto as Exhibit 99.1.
