Item 1.01             Entry Into a Material Definitive Agreement

Item 2.01             Completion of Acquisition or Disposition of Assets

Effective April 7, 2011, the Registrant (“North Bay”) executed an agreement (the “Agreement”) to sell a number its mineral claims in the Slocan Mining District of British Columbia, Canada, to Argentum Exploration Inc. (“Argentum”) for the cash sum of $50,000 USD, plus a 2% net smelter royalty (“NSR”).

The Agreement provides that Argentum shall pay to North Bay $25,000 USD upon execution of the Agreement, and $25,000 USD on or before April 20, 2011.  In addition, the Company will retain a 2% net smelter royalty (“NSR”) on the claims.  This royalty can be purchased and terminated upon the payment of $2 million dollars USD to North Bay by Argentum at any time.

This is an arms-length transaction, and there is no family or other relationship with any affiliate of Argentum Exploration Inc. with any officer, director, or affiliate of the Registrant.  No shares of the Registrant’s stock have been or will be issued in connection with this Agreement.

The above described executed Agreement is attached hereto and incorporated by reference as Exhibit 10.1
