Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Effective April 8, 2011, Mr. Steven Gidumal has been appointed to the Board of Directors of RoomStore, Inc. Mr. Gidumal is the president of Virtus Capital, L.P., a private investment company based in Orlando, Florida. Virtus Capital currently owns 4.99% of the common stock of RoomStore.
Mr. Gidumal will serve as Chairman of the Audit Committee, and will also be a member of the Corporate Governance and Compensation Committees. Mr. Gidumal will receive compensation for his services on the Board in accordance with the standard compensation arrangements for non-employee directors of RoomStore.
