Item 1.03 Bankruptcy or Receivership
On April 6, 2011, the Company and all of its domestic wholly-owned subsidiaries filed a voluntary petition for relief (the “Bankruptcy Case”) under Chapter 11 of the United States Bankruptcy Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”), Case No. 11-11607. No trustee has been appointed and the Company will continue to operate itself and its subsidiaries as “debtor-in-possession” under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code and orders of the Bankruptcy Court.
On April 6, 2011, the Company issued a press release announcing the filing of the Bankruptcy Case. A copy of the press release is filed as Exhibit 99.1 hereto.
Item 8.01 Other Events
On March 31, 2011, the Company agreed to sell its investment securities (consisting of auction-rate-securities and preferred shares) with an aggregate principal amount of $16.55 million. On April 5, 2011, the sale of the investment securities was settled and the Company received aggregate proceeds of approximately $5.45 million in cash. The Company no longer holds any investment securities.
