Item 7.01. Regulation FD Disclosure

On March 31, 2011, Boston Private Bank & Trust Company (the “Bank”), a wholly-owned subsidiary of Boston Private Financial Holdings, Inc. (“Boston Private”), received regulatory approval from the FDIC to merge, as the surviving bank, with Boston Private’s three other bank subsidiaries. The Bank received approval from the Massachusetts Commissioner of Banks for the merger on March 28, 2011. The bank merger is expected to close in the second quarter of 2011 and, as previously announced, Boston Private has already begun implementing a 12-month integration plan.
