ITEM 2.02  RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On March 31, 2011 CNB Corporation mailed to shareholders its quarterly shareholder financial report which discloses the results of operations of the Company for the years ended December 31, 2010 and December 31, 2009 and the financial condition of the Company as of December 31, 2010 and December 31, 2009.

The financial report is attached hereto as Exhibit 99.
