(b)    On March 29, 2011, Mr. Robert Neumeister, Jr., a member of the Board of Directors (the “Board”) of Geeknet, Inc. (the “Company”) informed the Board of his intention to resign from the Board as of the Company’s 2011 Annual Meeting of Stockholders.  Mr. Neumeister will continue to serve as a director until such meeting. Mr. Neumeister’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
