Item 8.01. OTHER EVENTS.

In May 2009, Michelle L. Mahfouz joined Sterling Bancshares, Inc. (the “Company”) as Senior Vice President and Director of Small Business Banking. In connection with her employment, the Company and Ms. Mahfouz entered into a Severance and Non-Competition Agreement (the “Agreement”). In June 2009, Ms. Mahfouz was promoted to Executive Vice President and Manager of Personal Relationship and Business Banking. Ms. Mahfouz has never been and currently is not a “named executive officer” of the Company as defined by Regulation S-K.

Other than the effective date, the number of shares of the Company’s common stock awarded to Ms. Mahfouz and the county designated in Section 3(a) of the Agreement, her Agreement is identical to the Company’s form Severance and Non-Competition Agreement, which is attached as Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2004 filed with the SEC on August 5, 2004.

A copy of Ms. Mahfouz’s Agreement is attached as Exhibit 10.1 and is incorporated herein by reference.
