Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 22, 2011, the Board of Directors of NiSource Inc. (the “Company”) approved a slate of nominees to stand for election as Director at the 2011 Annual Stockholders’ Meeting scheduled for May 10, 2011. The nominated slate of directors does not include Dennis E. Foster, who is currently serving as Director, due to his intention to retire from the Board of Directors at the conclusion of his current term. Mr. Foster currently serves as a member of the Company’s Corporate Governance Committee and Finance Committee and is Chairperson of the Company’s Audit Committee.
