(b) On March 18, 2011, Paul Bower resigned as Senior Vice President and Chief Development Officer of Cosi, Inc. (the “Company”). In conjunction with his resignation, the oral at-will employment agreement between the Company and Mr. Bower was terminated as of March 18, 2011. The material terms of the employment agreement were described in the Company’s Definitive Proxy Statement filed on April 18, 2008, and such description is incorporated herein by reference. The Company has not entered into an agreement with Mr. Bower regarding the terms of his departure.
