On March 17, 2011, OMNOVA Solutions held its 2011 Annual Meeting of Shareholders. At this meeting, the shareholders considered and voted upon the following matters:
1. | Election of the following individuals to serve as directors for a term of three years, expiring at the 2014 Annual Meeting of Shareholders: Michael J. Merriman and William R. Seelbach; |
2. | Ratification of the appointment of Ernst & Young LLP as the Companys independent registered public accounting firm for the fiscal year ending November 30, 2011; |
3. | An advisory vote to approve the compensation of the Companys executive officers; and |
4. | An advisory vote on the frequency of advisory votes on executive compensation. |

Accordingly, the individuals nominated for election as directors, each of whom currently serves as a director of the Company, were re-elected for a three year term expiring in 2014, and the appointment of Ernst & Young LLP as the Companys independent registered public accounting firm for the 2011 fiscal year was ratified by the Companys shareholders. As stated in the Companys 2011 Proxy Statement, the Board of Directors considers the affirmative vote of more than a majority of shares present at the Annual Meeting (whether in person or by proxy) as approval of the compensation of the Companys executive officers. Finally, again as stated in the Companys 2011 Proxy Statement, the Company will take into consideration the results of the advisory vote in determining the frequency of advisory votes on executive compensation.
