Item 7.01.

Regulation FD Disclosure

On March 17, 2011 we announced that we entered into a binding agreement for the purchase of certain oil and gas properties in Montana. The acquisition is expected to be completed within one month. We will file an additional current report on Form 8-K with the details of the definitive agreement within 4 business days. A press release regarding the agreement is attached as Exhibit 99.1.
