(b) On March 12, 2011, Francis P. Barton notified ON Semiconductor Corporation (“Company”) that due to personal reasons he would not stand for re-election to the Board of Directors at the Company’s Annual Meeting of Stockholders in 2011. Mr. Barton will continue to serve as a director of the Company until the 2011 Annual Meeting of Stockholders, which is currently expected to be held on May 11, 2011.
