(b) On March 10, 2011, Ranjit C. Singh, a member of the Board of Directors of Authentidate Holding Corp. (the “Registrant”), notified the Registrant that he would not stand for reelection at the Registrant’s next annual meeting of stockholders. On March 10, 2011, the Registrant’s Board of Directors determined to hold the Registrant’s annual meeting for 2011 on May 5, 2011 and is actively considering its nomination of directors with respect to filling the vacancies created by the decisions of Mr. Singh, and as previously reported, Mr. Harry Silverman, to not stand for reelection.
