Explanatory Note
This Current Report on Form 8-K/A amends and restates Item 9.01 of the Current Report on Form 8-K filed by On Assignment, Inc., a Delaware corporation (the “Company”) with the Securities and Exchange Commission (“SEC”) on March 3, 2011 (the “Original Filing”). At the time of the Original Filing, the Company anticipated that it would be required to file certain financial statements and pro forma financial information of Warphi NV, a Belgium entity (“Warphi”) in connection with the acquisition by a wholly owned subsidiary of the Company of all of the outstanding capital stock of Warphi. Because the Company is not required to file such financial statements and pro forma financial information in connection with such acquisition it is filing this Current Report on Form 8-K/A.
