Item 8.01     Other Events.

On March 10, 2011, Pulse Electronics Corporation issued a press release announcing that its board of directors unanimously rejected the unsolicited proposal from Bel Fuse Inc. to acquire all of Pulse's outstanding shares for $6 per share.  The press release is attached as Exhibit 99.1 and is incorporated by reference.
