(b) Amir Mashkoori has notified the board of directors of Entropic Communications, Inc. (the “Company”) that he will not stand for re-election to the board when his term is scheduled to expire at the Company’s 2011 Annual Meeting of Stockholders. In connection therewith, Mr. Mashkoori tendered his irrevocable resignation from the Company’s board of directors and from any and all other positions that he holds on any boards and/or committees of the Company and its subsidiaries, effective as of May 18, 2011.
