Item 2.02 Results of Operations and Financial Condition.

On March 2, 2011, MakeMusic, Inc. (the “Company”) issued a press release announcing its financial results for fourth quarter and fiscal year ended December 31, 2010. The full text of the press release is set forth in Exhibit 99.1 attached hereto and is incorporated by reference in this Current Report on Form 8-K as if fully set forth herein.

In addition, on March 2, 2011, the Company held a publicly available conference call to discuss its financial results for the fourth quarter and fiscal year ended December 31, 2010. The transcript of the call is furnished as Exhibit 99.2 hereto and is incorporated by reference in this Current Report on Form 8-K as if fully set forth herein.
