Item 7.01 Regulation FD Disclosure

Eagle Materials Inc. (“Company”) has determined that it will not move forward with its planned expansion of Nevada Cement in Fernley, Nevada. This decision is based on the economic impact of new environmental regulations combined with the challenging market conditions in Northern Nevada and Northern California. This decision should provide the Company with greater flexibility to invest in higher returning growth opportunities while allowing Nevada Cement to continue its normal existing operations. As a result of this decision, the Company’s fiscal 2011 financial results will reflect a non-cash charge of approximately $9 million associated with the write-off of the deferred project costs.
