Item 2.02 Results of Operations and Financial Condition.
On March 2, 2011, Ascena Retail Group, Inc. (the “Company”) issued a press release disclosing material non-public information regarding its results of operations for its fiscal second quarter and six month period ended January 29, 2011. The Company also raised its earnings per share guidance for its full fiscal year ending July 30, 2011 to the range of $2.28 to $2.33. A copy of this press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 2.02.
