Item 8.01.  Other Events.
 
On March 1, 2011, Rite Aid Corporation (“Rite Aid”) issued a press release announcing that it had received notice from the New York Stock Exchange (the “NYSE”) that it has regained compliance with the NYSE’s minimum share price listing requirement.  Rule 802.01C of the NYSE’s Listed Company Manual requires that a company’s common stock trade at a minimum average closing price of $1.00 over a consecutive 30 trading-day period. Rite Aid regained compliance after its closing share price on February 28, 2011 and its average closing share price for the 30-days of trading ending February 28, 2011 were both above $1.00.  Rite Aid, which has continued to trade as usual on the NYSE, is now in compliance with all NYSE listing rules.  The press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
