Item 1.01                      Entry into a Material Definitive Agreement

On February 28, 2011, a First Amendment to the office lease agreement between Hallmark Financial Services, Inc., the Registrant and MS Crescent One SPV, LLC was executed. The amendment covers 27,808 square feet of office space in a building located at 777 Main Street, Fort Worth, Texas.  The amendment extends the term of the lease is for an additional period of 132 months commencing on July 1, 2011.  The average base rent is $46,873.33 per month for the term of the amendment.  Prior to execution of the lease agreement, there was no material relationship between the registrant or any of its affiliates and any other party to the agreement.
